Terms of Service

These Terms of Service (“Terms”) are a binding agreement governing access to and use of Stocktag websites, applications, APIs, desktop or local-file experiences, public-community features and related services (the “Service”). By creating an account, purchasing an Order, or otherwise using the Service after being shown these Terms, you agree to them. The Privacy Notice describes data processing and is not itself a contract or blanket consent. If you do not agree, do not use the Service.

1. Contracting party and required operator details

“Stocktag,” “we,” “us” and “our” mean the person or legal entity operating the Service. The operator’s verified legal name, full service/postal address, tax or company registration details and required contact channels have not been supplied in this repository. They must be inserted here and in checkout disclosures before these Terms can be treated as a complete distance-service contract. The brand name or package author alone is not a substitute for legal identity.

Paddle is the merchant of record for paid Orders and is the seller of record for payment, tax and receipt purposes under the Paddle terms shown at checkout. These Terms govern the Stocktag Service; Paddle’s checkout and buyer terms also apply to its payment and merchant-of-record activities. Questions may be sent to support@stocktag.ai.

2. Definitions and order of documents

The accepted Order controls product, price, billing period and expressly stated trial terms; these Terms control general Service use; mandatory law controls over both. If marketing and checkout conflict, the more specific checkout disclosure—and for a Consumer, the interpretation more favorable where mandatory law requires—applies. A data-processing agreement, enterprise order or written addendum signed by Stocktag controls for its specific subject.

  • “Account” means your Stocktag user profile and credentials. “Consumer” means a natural person acting mainly outside a trade or profession; “Business User” means anyone acting for commercial or professional purposes.
  • “Content” means files, images, video, vectors, prompts, instructions, metadata, searches, styles, comments and other material submitted or made available by a user. “Output” means AI-generated or transformed metadata, text, images, prompts, vectors, analysis or other results.
  • “BYOK” means use of a third-party provider credential supplied by you. “Credits” are limited, non-currency units used for eligible Service operations. “Plan” is a free or paid entitlement. “Order” is the product, price, currency, tax, billing interval, trial and other terms presented and accepted at checkout.
  • “Public Content” means feedback, comments, community styles or other material intentionally submitted to a public area.

3. Eligibility, authority and accounts

  • You must be at least 18, have legal capacity to contract, and not be barred by sanctions, export-control or other applicable law.
  • If using the Service for an organization, you represent that you can bind it. The organization is responsible for authorized users and account use.
  • Provide accurate registration, contact and billing information and keep it current. Do not impersonate another person or create accounts to evade limits.
  • Keep credentials, devices and BYOK keys secure; do not share, transfer, rent or resell an Account. Notify support promptly of suspected compromise.
  • You are responsible for Account activity to the extent caused by your acts, omissions or authorized users. This does not make a Consumer liable for unauthorized activity caused by Stocktag or where mandatory law says otherwise.

4. What the Service does

The Service can generate, edit, translate, organize, embed and export stock-media metadata; process image, vector and video inputs; generate or edit images and prompts; vectorize images locally; operate folders, drafts, history and recovery; search external stock/data sources; produce trends, holiday and similarity analysis; access local files in a desktop environment; and provide community, referral, support and account/billing tools. Feature availability, supported formats, file limits, model choices and usage limits are shown in the relevant interface and can depend on Plan, provider, device and region.

Some preview/vector/local-file features run mainly on your device. Other features send Content to Stocktag and selected third parties. “AI,” generated-content or similar labels identify automated functionality; the Service does not pretend an AI interaction is a human adviser.

5. License and acceptable use

Subject to these Terms and payment of applicable fees, Stocktag grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use the Service for lawful personal or internal business purposes. No source code, model, dataset, trademark or other right is transferred except as expressly stated.

  • Do not use the Service or Output for illegal, fraudulent, deceptive, infringing, privacy-invasive, defamatory, harassing, hateful, exploitative or dangerous activity.
  • Do not upload child sexual abuse material, non-consensual intimate imagery, unlawful extremist material, malware, stolen credentials, secrets, or content that unlawfully depicts or impersonates a real person. Do not create deceptive deepfakes or bypass required AI disclosure.
  • Do not access another user’s data; probe or defeat security; evade rate, credit, trial, referral or Plan controls; create coordinated duplicate accounts; interfere with infrastructure; or introduce malicious code.
  • Do not scrape, crawl, benchmark for publication, reverse engineer, extract models/data, build a competing service, automate high-volume access, resell access or use Output to train a competing model except with prior written permission or a non-waivable legal right.
  • Respect provider and stock-marketplace terms, robots/access restrictions, copyright, database rights, trademarks, publicity/model/property releases and privacy/data-protection laws.

6. Your private Content

As between you and Stocktag, you retain ownership of your Content. You give Stocktag and necessary providers a worldwide, limited, non-exclusive license to host, copy, transmit, resize, transform, analyze, create temporary derivatives from, display back to you and otherwise process Content only to provide, secure, support and legally operate the requested Service. This operational license ends when the relevant Content is deleted, subject to provider processing, protected backups and lawful retention.

You represent that you have all rights, permissions and lawful bases needed to submit and instruct processing of the Content, including copyright, trademark, privacy, publicity and any model/property releases required for the intended use. Do not submit confidential or personal data unless you are authorized and the feature is appropriate. These user responsibilities do not waive Stocktag’s own legal duties.

7. Public Content and moderation

When you intentionally submit Public Content, you instruct Stocktag to publish it and grant Stocktag a worldwide, non-exclusive, royalty-free license to host, reproduce, format, translate for accessibility, distribute, publicly display and make technical/moderation copies of it for operating and promoting that public feature. The license lasts while the content is public and for reasonable cached, backup, legal and evidentiary copies. Your underlying ownership remains yours.

Public Content and the selected display name can be viewed, copied and indexed. Do not post confidential or third-party personal data. Stocktag may label, rank, restrict, reject, de-identify or remove content that violates these Terms, law, safety, intellectual-property rights or community integrity. Where law requires, we provide reasons and an appeal path. Report a privacy, copyright, trademark or other rights issue to support@stocktag.ai with the URL/item, claimant identity, right involved, good-faith explanation and contact details. Knowingly false notices may create liability.

Unless the interface grants a self-service right, request deletion or correction through support. Removing content from Stocktag cannot remove copies independently made by users, providers or search engines.

8. AI Output and human review

AI and algorithmic Output is probabilistic. It may be inaccurate, incomplete, biased, offensive, outdated, non-unique, similar to third-party material or rejected by a marketplace. Stocktag does not guarantee factual accuracy, search ranking, sales, platform acceptance, originality, copyrightability, ownership, exclusivity or non-infringement. Review visible facts, identity/location/brand claims, keywords, metadata, releases and destination-platform rules before use.

As between you and Stocktag, and only to the extent rights can legally arise and be transferred, Stocktag assigns to you any right it may have in Output generated specifically for you. This does not transfer third-party rights, provider rights, stock-source material, Service components or rights that law does not recognize. Similar or identical output may be generated for others.

Output is not legal, medical, financial, tax, safety or other professional advice and must not be used as the sole basis for a high-impact decision about a person. You remain responsible for the final use, disclosure, labeling and legality of Content and Output.

9. Image generation, similarity and market intelligence

For generated or edited images, you must have rights to prompts and references and must not misuse a person’s likeness, voice, private life or identity. Apply required synthetic-content labels and provenance information. Similarity results, trends, holidays, search volumes, stock listings and market suggestions are estimates or third-party information, not clearance searches or guarantees of demand, availability, ownership or non-infringement.

Stocktag is not affiliated with or endorsed by Adobe Stock, Shutterstock, Getty/iStock, Freepik, Depositphotos, Dreamstime, 123RF or another named marketplace unless expressly stated. External results remain subject to source licenses and terms.

10. BYOK

BYOK authorizes Stocktag or your browser to send Content and requests to the selected provider using your credential. You are responsible for a valid provider account, provider terms, allowed models, quotas, geographic limits, security and all provider charges. Stocktag does not control provider availability, pricing, moderation, retention, training settings or account enforcement.

A key may be encrypted and saved on Stocktag’s backend or used in browser-direct/session mode as described in the Privacy Notice. You authorize the chosen handling when saving or using the key. Restrict the key at the provider where possible, never reuse a password, remove it when no longer needed, and revoke it if compromise is suspected. Stocktag may reject, quarantine or disable a key integration for security, abuse, law or provider failure.

11. Plans, Credits, limits and fair use

  • Free features, guest trials, welcome Credits and Free BYOK can be subject to per-device, network, account, provider and daily limits. Promotional or free Credits have no cash value and may expire or be reversed as disclosed, for fraud, error, refund or chargeback.
  • Paid subscription Credits are granted/reset in the quantity and interval expressly shown in the accepted Order. Unless the Order says they roll over, an unused subscription allocation expires at the next allocation/reset. An annual Order described as including monthly Credits must deliver every monthly allocation or the equivalent 12-month total up front; Stocktag must not rely on conflicting implementation to reduce the advertised benefit.
  • Purchased one-time Credits stack and do not expire while the Account and Service remain available, except where refunded, charged back, obtained by fraud, required by law, or replaced with an equal or better remedy on Service closure. They are non-transferable and not redeemable for cash except where mandatory law requires.
  • “Unlimited” means no stated Stocktag daily BYOK cap for normal individual use; it does not override provider quota/cost, technical capacity, file limits, security controls or a reasonable fair-use restriction against automation, sharing, resale, attacks or material service degradation.
  • The interface should show estimated Credit cost before an operation where practicable. A failed operation should not consume Credits unless provider cost was incurred and the disclosed rule permits it; report incorrect deductions promptly.

12. Trials, recurring subscriptions and cancellation

A trial exists only if its duration, eligibility, price after trial and conversion date are clearly shown at checkout. Where you expressly authorize conversion, the subscription begins charging at the stated time unless canceled before the deadline. Where law requires a fresh request or prohibits automatic conversion/extension, that rule controls.

A recurring subscription continues for successive billing periods shown in the Order until canceled. Before purchase, checkout must clearly disclose total or periodic price, taxes, billing interval, minimum/indefinite duration, renewal, functionality, compatibility, cancellation and withdrawal rights. Price increases or material reductions apply prospectively after legally sufficient notice and any required consent; you may cancel before they take effect.

Cancel through the Paddle customer portal or another equally easy method presented in the Account. Cancellation normally stops future renewal and keeps paid access through the current period; it does not itself request a statutory withdrawal, refund, Account deletion or data deletion. We send or make available durable confirmation. Mandatory rules on processing time, unused prepaid amounts and easier cancellation prevail.

13. Payments, taxes and failed charges

Paddle processes payment as merchant of record, calculates applicable tax, selects payment methods and issues the transaction document. The final checkout total, currency and tax control. Stocktag receives transaction and entitlement data but not the full card number or CVV.

You authorize the disclosed one-time or recurring charge. A failed, reversed or disputed payment can suspend paid entitlement after reasonable notice where practicable. Stocktag/Paddle may retry a failed payment as disclosed. Do not initiate an improper chargeback; contact support first, without limiting lawful bank or consumer rights. Refunds reverse associated Credits or entitlements to prevent double recovery.

14. Consumer withdrawal, refunds and legal guarantees

Nothing in these Terms removes a mandatory cooling-off, withdrawal, refund, conformity, repair, repeat-performance, price-reduction, termination or damages right. A blanket “no refunds for digital services” rule does not apply where law grants a remedy. Paddle’s buyer support may administer a refund, but Stocktag remains responsible for duties the law assigns to the Service operator.

If you ask for immediate performance during a withdrawal period, any loss of withdrawal right applies only when all legal conditions are met—including prior express request/consent, required acknowledgement and durable confirmation. If they are not met, the statutory right remains. A Consumer can use any online withdrawal function required and offered for the Order or send an unambiguous withdrawal request to the verified operator/Paddle channel shown in the receipt. Ordinary cancellation is not a substitute for statutory withdrawal.

For Türkiye, distance-contract pre-information, withdrawal form/channel, subscription rules and Consumer Arbitration Committee or court rights remain available. For EEA/UK consumers, the applicable digital-service conformity and withdrawal regime remains available. Any voluntary refund policy shown at checkout supplements, and does not replace, mandatory rights.

15. Referrals, promotions and free access

Referral or promotional Credits are subject to the rules shown with the offer, including eligibility, attribution window, award event and limits. Current referral attribution can last up to seven days and rewards can require a genuine eligible new signup. Do not self-refer, use duplicate/fake accounts, buy or exchange referrals, mislead recipients, spam, or manipulate devices/networks. Stocktag may withhold or reverse a fraudulent, erroneous, refunded or charged-back reward after review.

We may change or end a promotion prospectively, but will not arbitrarily confiscate a valid earned benefit. Promotions are not cash, employment, agency or a promise of future availability.

16. Desktop and local-file operations

If you grant filesystem access, the desktop/local tools may watch, read, import, copy, rename, embed or clear metadata, write files and create ZIPs at paths you select; recent paths and file summaries can be cached on the device. You confirm you control or are authorized to modify those files and locations.

Some writes or metadata removals are difficult to reverse. Keep independent backups, review the selected folder and output mode, test on copies, and do not rely on recovery/history as your only backup. Stocktag is responsible for damage it unlawfully causes and cannot exclude non-waivable liability, but is not responsible for a user-selected destructive operation that the interface clearly disclosed and correctly executed.

17. Third-party services and links

The Service depends on providers and may open, query or display third-party sites, APIs, models, content and links. Their terms, privacy notices, licenses, availability and fees apply independently. Stocktag does not control third-party content or promise continuous availability, but will use reasonable care in selecting and integrating providers and remains responsible where law does not permit delegation.

Do not assume a search result or accessible URL grants a license. Obtain content directly under the source’s license and comply with attribution, download and use restrictions.

18. Stocktag intellectual property and feedback

The Service, software, design, documentation, prompts/templates supplied by Stocktag, trademarks and non-user datasets are owned by Stocktag or licensors. Except for the limited Service license, no right is granted. You may provide product suggestions; unless marked confidential under a written agreement, Stocktag may use a suggestion without payment or restriction, but this does not transfer your private Content or personally identify you in marketing without permission.

19. Privacy, security and confidentiality

The Privacy Notice explains processing, providers, international transfers, retention and rights. Optional cookie and marketing consent is separate from agreement to these Terms. You must not use the Service to process personal data unlawfully. A Business User needing processor terms must enter an appropriate data processing agreement before submitting regulated personal data at scale.

No internet service can guarantee absolute security. Report vulnerabilities responsibly to security@stocktag.ai and do not access, retain or publish another user’s data. Do not send passwords, API keys, full card data or identity documents through ordinary support email unless an approved secure process specifically requests them.

20. Suspension, termination and Account deletion

You may stop using the Service and cancel a subscription as described above. Account/data deletion is a separate request currently available through support@stocktag.ai; export what you need first. Stocktag may proportionately restrict, quarantine or suspend access for a material breach, unlawful content, security risk, abuse, non-payment, provider requirement or legal order. We provide notice, reasons, time to cure and appeal where practicable and legally required; urgent security or legal action can be immediate.

On termination, the Service license ends. Mandatory refunds and statutory rights remain. Treatment of paid access and Credits follows Sections 11–14; Stocktag will not confiscate purchased value contrary to law. Content is deleted or retained under the Privacy Notice, legal holds and provider rules. Payment, ownership, Public Content, disclaimers, liability, dispute and other provisions that by nature must survive continue.

21. Availability, beta features and changes

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, provider outages, security incidents, legal requirements and force-majeure events can interrupt it. A beta/preview feature may change or end and should not be used as the sole repository for important data.

We may improve, replace or discontinue features. For a material reduction to a paid Plan, we provide reasonable advance notice and an appropriate cancellation, continued-use period, substitute or refund where required. We do not use unilateral changes to deprive a Consumer of paid or statutory rights.

22. Warranties and disclaimers

To the maximum extent permitted by law, the Service is provided “as available.” Stocktag disclaims implied warranties that may lawfully be excluded, including uninterrupted availability and fitness for a particular commercial result. This does not exclude an express promise in an Order, reasonable skill and care, digital-service conformity, title, security or another warranty/right that cannot lawfully be excluded.

You are responsible for professional review and backup, but a disclaimer does not excuse Stocktag’s fraud, willful misconduct, gross negligence or breach of a non-waivable statutory duty.

23. Liability

For Consumers, liability is governed by mandatory law. Nothing limits liability that cannot legally be limited, including fraud or fraudulent misrepresentation, willful misconduct or gross negligence, death or personal injury caused by negligence, or mandatory data-protection, intellectual-property, payment and consumer liability.

For Business Users only and to the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or lost profit/revenue/data/business opportunity, that was not reasonably foreseeable. Stocktag’s aggregate liability arising from the Service is limited to fees paid by that Business User for the Service during the 12 months before the event, except for the non-excludable matters above. Multiple claims do not enlarge the cap.

These allocations apply only to the extent fair and enforceable in the applicable jurisdiction and do not prevent payment, injunctive or other relief that cannot be limited.

24. Business indemnity

A Business User will defend and indemnify Stocktag from a third-party claim to the extent caused by that Business User’s unlawful Content, lack of required rights/releases, or material breach of Sections 5–7, after prompt notice, reasonable control of defense and cooperation. Stocktag may participate with its own counsel. No settlement may admit fault or impose a non-monetary duty on the other party without consent. This clause does not apply to a Consumer beyond liability validly imposed by mandatory law and does not cover Stocktag’s own fault.

25. Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye, excluding conflict rules, unless mandatory law gives you the protection of another country. The parties should first send a written description to support and allow a reasonable opportunity to resolve it.

For a Consumer, nothing restricts the competent Consumer Arbitration Committee, consumer court, court of residence, regulatory complaint or other mandatory forum. For a Business User only, Istanbul courts and enforcement offices have exclusive jurisdiction unless a signed enterprise agreement states otherwise. No clause requires an individual Consumer to arbitrate or waive a collective/statutory remedy unless the Consumer separately and validly agrees after the dispute where lawful.

26. Changes to these Terms

We may update these Terms for legal, security, provider or product changes. Material changes are notified reasonably in advance and take effect prospectively. We request affirmative re-acceptance where law or the nature of the change requires it. Continued use can evidence acceptance only where legally valid after adequate notice; it does not retroactively change an accepted Order or remove accrued or mandatory rights.

27. General terms

These Terms, the accepted Order and applicable addenda are the entire agreement on the Service and replace prior discussions on that subject. If a provision is invalid, it is narrowed or severed and the remainder continues. Failure to enforce is not a waiver. Headings are for convenience. The parties are independent contractors; no partnership, employment, fiduciary or agency relationship is created.

You may not assign an Account or these Terms without consent; Stocktag may assign them with a merger, reorganization or sale only if user rights are not materially reduced and required notice is given. No third party is a beneficiary except as expressly stated. Electronic notices and records satisfy writing requirements where law permits; keep the checkout confirmation and current Terms. A controlling-language rule applies only if disclosed at acceptance and cannot override a mandatory local-language right.
