These Terms of Service ("Terms") govern your access to and use of Stocktag websites, apps, APIs, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Eligibility and Account
- You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
- You must provide accurate registration and billing information and keep it up to date.
- You are responsible for account security and all activity under your account.
- You must promptly notify us of unauthorized account use.
Service License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for lawful business or personal use.
Acceptable Use
You agree not to:
- Use the Service for unlawful, infringing, deceptive, abusive, or harmful activities.
- Upload content you do not have rights to use, or content that violates privacy or publicity rights.
- Interfere with, disrupt, scrape, reverse engineer, bypass limits, or probe Service security.
- Use automated methods to overload infrastructure or circumvent plan or rate limits.
- Attempt to access other users' data, credentials, or system keys.
User Content and Rights
You retain ownership of your uploaded files and input content. You grant Stocktag a limited license to host, process, transmit, and transform your content solely to operate, secure, and improve the Service. You are responsible for ensuring you have all rights and permissions for submitted content.
AI Outputs and Marketplace Responsibility
Metadata and other outputs are generated by AI and may contain errors, omissions, or compliance issues. You must review and validate all outputs before publishing or distribution. You are solely responsible for:
- Final keyword, title, and description accuracy.
- Compliance with platform rules (for example stock agency submission policies).
- Release, licensing, IP, privacy, and legal compliance for your content and usage.
Plans, Credits, and BYOK
- Plans may include subscription credits, one-time credits, and BYOK-based usage.
- Free BYOK usage is subject to daily limits as shown in-product.
- Unlimited BYOK removes BYOK daily caps but requires valid user-provided provider keys.
- Credit consumption rules are determined by the feature or model used and may vary by workflow.
- One-time credits are non-recurring and are designed to stack with subscriptions.
Billing, Auto-Renewal, and Cancellation
- Payments are processed by third-party providers (currently Paddle) under their own terms and policies.
- Subscriptions renew automatically unless canceled before the next renewal date.
- Cancellation typically takes effect at the end of the current billing period unless stated otherwise.
- Failed payments may result in plan downgrade, pause, restricted features, or account limits.
- Prices, taxes, and plan features may change; changes apply prospectively.
Refunds
Except where required by law, fees are non-refundable. Any refund exceptions, if offered, are handled according to applicable payment-provider and local legal requirements.
BYOK Keys and Security
If you use BYOK, you are responsible for provider account security, quota or cost management, and key validity. We may reject, revoke, or disable compromised or misused key integrations and may apply additional security controls.
Intellectual Property
The Service, software, branding, and related materials are owned by Stocktag and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Service except as expressly permitted by law.
Third-Party Services
The Service may integrate with third-party providers (including AI, payments, hosting, analytics, and external APIs). Your use of such services may be subject to their separate terms and privacy policies.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR EXPECTATIONS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKTAG AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.
WHERE LIABILITY CANNOT BE EXCLUDED, STOCKTAG'S AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF: (A) AMOUNTS YOU PAID TO STOCKTAG IN THE 3 MONTHS BEFORE THE CLAIM; OR (B) USD 100.
Indemnification
You agree to defend, indemnify, and hold harmless Stocktag from claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.
Suspension and Termination
We may suspend or terminate access immediately for security, abuse, payment failure, legal compliance, or breach of these Terms. You may stop using the Service at any time. Sections that should survive by nature (payments, IP, disclaimers, liability, indemnity, dispute terms) remain in effect after termination.
Changes to the Service or Terms
We may update the Service and these Terms at any time. Material changes become effective when posted or when otherwise communicated. Continued use after the effective date means acceptance of the updated Terms.
Governing Law and Disputes
Unless mandatory consumer law provides otherwise, these Terms are governed by the laws of the Republic of Türkiye, excluding conflict-of-law rules. Disputes will be submitted to the courts of Istanbul, Türkiye, unless a different venue is required by applicable law.
General Provisions
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
